Welcome to MusicClip.ai. These Terms of Service ("Terms") govern your access to and use of the MusicClip.ai website, platform, applications, and services (collectively, the "Service") operated by MusicClip.ai LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company located at 30 N Gould St Ste R, Sheridan, WY 82801, USA.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

You must be at least 13 years of age to use this Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Effective Date" above. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Account Terms

To access certain features of the Service, you must register for an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration and keep your account information up to date.
• Maintain the security and confidentiality of your account credentials. You are responsible for all activities that occur under your account.
• Notify us immediately at support@musicclip.ai if you suspect any unauthorized use of your account.
• Not create more than one account per person, or create accounts on behalf of others without authorization.
• Not use another person's account without their permission.

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to a violation of these Terms.

3. Description of Service

MusicClip.ai is an AI-powered platform that provides the following services:

• Music Video Generation: Convert audio files into video clips using AI technology, stock footage, and AI-generated visuals.
• Short Maker: Create vertical short-form videos with AI-powered subtitles and scene detection.
• YouTube Tools: A suite of research and analytics tools including keyword research, trend scanning, competitor tracking, deep search, and title/thumbnail analysis.
• Video Editor: A browser-based video editor for customizing generated content.

The Service may be updated, modified, or discontinued at any time without prior notice. We do not guarantee that the Service will always be available or operate without interruptions or errors.

4. User Content and Uploads

The Service allows you to upload, submit, and process content including but not limited to audio files, video files, images, and text ("User Content"). You retain all ownership rights in your User Content.

By uploading User Content to the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, process, reproduce, and display your User Content solely for the purpose of providing and improving the Service. This license ends when you delete your User Content or your account, except for copies made for backup or archival purposes.

You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to upload and use your User Content with the Service.
• Your User Content does not infringe, misappropriate, or violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
• Your User Content complies with all applicable laws and regulations.
• You have obtained all necessary permissions for any music, audio, or media you upload, including mechanical licenses, sync licenses, or other applicable rights clearances.

We are not responsible for the content you upload and do not endorse any User Content. We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without notice.

5. AI-Generated Content

The Service uses artificial intelligence to generate video content, subtitles, prompts, analytics, and other outputs ("AI-Generated Content"). Regarding AI-Generated Content:

• Ownership: Subject to your compliance with these Terms and applicable law, you are granted rights to use AI-Generated Content created through your use of the Service for personal and commercial purposes.
• No Exclusivity: AI-Generated Content is not exclusive. Other users may receive similar or identical outputs when using similar inputs. We do not guarantee the uniqueness of any AI-Generated Content.
• No Warranty on Accuracy: AI-Generated Content is produced by machine learning models and may contain errors, inaccuracies, or inappropriate material. You are responsible for reviewing and verifying all AI-Generated Content before use.
• Third-Party AI Services: Some AI-Generated Content may be produced using third-party AI services (such as Kling AI for video generation). Such content may also be subject to the terms and conditions of those third-party providers.
• Stock Footage: Videos generated using stock footage are subject to the applicable stock footage license terms. You are responsible for ensuring your use complies with those terms.

6. Credits and Billing

The Service operates on a credit-based system. Certain features require credits, which may be purchased or earned through promotional offers.

• Credit Purchases: Credits are purchased through our payment processor (Stripe). All purchases are final and non-refundable unless otherwise required by applicable law or stated in our refund policy.
• Credit Expiration: Credits do not expire unless otherwise stated at the time of purchase or in connection with a promotional offer.
• Credit Deductions: Credits are deducted when you use paid features of the Service. Credit costs for each feature are displayed before use. In the event of a processing failure attributable to our Service, credits may be refunded at our discretion.
• Pricing Changes: We reserve the right to change credit pricing, packages, and the credit cost of features at any time. Changes will not affect credits already purchased.
• Subscriptions: If you purchase a subscription plan, it will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings.
• Taxes: You are responsible for any applicable taxes associated with your purchases.

7. Prohibited Use

You agree not to use the Service to:

• Upload, generate, or distribute content that is illegal, harmful, abusive, defamatory, obscene, hateful, or otherwise objectionable.
• Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party.
• Upload content containing malware, viruses, or any other malicious code.
• Attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service.
• Use the Service for any fraudulent, deceptive, or illegal purpose.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service or any underlying technology.
• Use automated scripts, bots, scrapers, or other automated means to access or interact with the Service without our prior written consent.
• Resell, redistribute, or sublicense the Service or access to the Service without our prior written consent.
• Circumvent, disable, or interfere with any security features or usage limits of the Service.
• Generate content that depicts, promotes, or facilitates child sexual abuse material, terrorism, violence, or other unlawful activities.
• Use the Service in a way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
• Misrepresent AI-Generated Content as being entirely human-created where disclosure of AI involvement is required by applicable law.

Violation of these prohibitions may result in immediate termination of your account and, where applicable, referral to law enforcement authorities.

8. DMCA and Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. In accordance with the Digital Millennium Copyright Act ("DMCA"), we will respond to valid notices of alleged copyright infringement.

Filing a DMCA Notice

If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement on our Service, please send a written notice to our designated agent with the following information:

• A physical or electronic signature of the copyright owner or a person authorized to act on their behalf.
• Identification of the copyrighted work claimed to have been infringed.
• Identification of the material that is claimed to be infringing and where it is located on the Service.
• Your contact information, including address, telephone number, and email address.
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
• A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

Counter-Notice

If you believe that your content was wrongly removed due to a DMCA notice, you may file a counter-notice with us. The counter-notice must include your signature, identification of the removed material, a statement under penalty of perjury that you believe the material was removed in error, and your consent to the jurisdiction of the federal court in your district. We will forward the counter-notice to the original complainant.

Repeat Infringers

We may terminate accounts of users who are determined to be repeat copyright infringers at our sole discretion.

9. Intellectual Property

The Service, including its original content (excluding User Content and AI-Generated Content), features, functionality, design, code, trademarks, logos, and other intellectual property, is and shall remain the exclusive property of MusicClip.ai LLC and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content, nor may you reverse engineer or attempt to extract the source code of the Service, unless applicable laws prohibit these restrictions or you have our written permission.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• IN NO EVENT SHALL MUSICCLIP.AI LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
• WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Indemnification

You agree to defend, indemnify, and hold harmless MusicClip.ai LLC, its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service.
• Your violation of any provision of these Terms.
• Your violation of any third-party right, including without limitation any intellectual property right, publicity right, confidentiality right, or privacy right.
• Any claim that your User Content caused damage to a third party.
• Your use of AI-Generated Content in violation of applicable laws or third-party rights.

This indemnification obligation will survive the termination or expiration of these Terms and your use of the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

You may terminate your account at any time by contacting us at support@musicclip.ai or through your account settings. Upon termination:

• Your right to use the Service will immediately cease.
• Any unused credits in your account will be forfeited and are non-refundable.
• We may delete your account data, including User Content, after a reasonable retention period as described in our Privacy Policy.
• Provisions of these Terms that by their nature should survive termination will survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith informal negotiation. If informal resolution fails, any remaining dispute, controversy, or claim shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Sheridan County, Wyoming.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. To the extent that arbitration is not applicable, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and MusicClip.ai LLC regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

17. Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
